HUB TERMS OF SERVICE

Welcome to Hub!
These Terms of Service (“Terms”) are a contract between you and Hub Public Benefit Corp., a Delaware Public Benefit Corporation (“Hub,” “we,” “us,” or “our”). These Terms govern your access to and use of Hub’s websites, applications, and related services that link to these Terms (collectively, the “Services”), including without limitation:
• PHapp® (including the PHapp mobile app, web experiences, and PHapp Alert SMS program)
• Wehealth® and Wehealth community spaces (including forums and related pages)
• Hub Portal (including portal experiences and agency tools)
• Hub Access and account services (including authentication and account management)
• Support services (including support portals and ticketing)
If you do not agree to these Terms, do not use the Services.
1. Who may use the Services; eligibility
You must be at least 13 years old (or the minimum age required to consent to use online services where you live) to use the Services. If you are using Organization Services (defined below), you represent that you are authorized to do so by the organization you represent.
2. Scope; Service categories
These Terms are intended to cover the full Hub platform. Some sections apply to all users, and some sections apply only to specific use cases:
• “Individual Services” means Services used primarily by individuals for personal, non-commercial purposes (for example: browsing public pages, using PHapp without an organization account, subscribing to PHapp Alert, participating in Wehealth community spaces).
• “Organization Services” means Services used by or on behalf of an organization, public agency, institution, or other entity (for example: Hub Portal access, organization-managed programs, administrative dashboards, organization integrations).
3. Accounts; Hub Access; mixed individual and organization accounts
3.1 Hub Accounts
Some parts of the Services can be used without an account. Other parts require an account (“Hub Account”). When you create or use a Hub Account, you agree to:
• provide accurate information,
• keep your credentials confidential,
• promptly notify us if you suspect unauthorized use, and
• be responsible for activity under your Hub Account (except where prohibited by law).
3.2 Business domains; organization administrators; account linking
If you create or access a Hub Account using an email address owned or controlled by an organization (for example, an agency, university, nonprofit, or employer), or if you are invited to participate in an organization’s program, your Hub Account may be associated with that organization’s organization account.
In that case, the organization’s administrators may be able to:
• manage your access,
• require security settings (such as SSO),
• access or control certain organization-managed content and settings,
• receive certain audit and usage information for organization accounts, and/or
• deactivate or reassign access.
Where appropriate, we will provide notice before linking an account to an organization account, unless the organization is responsible for notifying you or has already informed you it may monitor and control accounts used for organization services.
4. Privacy
Our Privacy Policy explains how we collect and use information related to the Services and is incorporated by reference into these Terms.
5. Safety, alerts, and important disclaimers
5.1 Not emergency services
THE SERVICES DO NOT PROVIDE EMERGENCY SERVICES. In an emergency, call 911 (or your local emergency number).
5.2 No guarantee of delivery or accuracy
Alerts, notifications, translations, maps, analytics, and content may be delayed, incomplete, unavailable, or inaccurate due to factors outside our control (including third-party sources, connectivity, carriers, device settings, or operational outages). You are responsible for evaluating whether information is appropriate for your situation.
5.3 No medical or professional advice
The Services provide information for general informational purposes only and are not medical advice, diagnosis, or treatment guidance, nor legal advice.
6. Acceptable use
You agree not to misuse the Services. You must comply with applicable laws and regulations. You will not:
• interfere with or disrupt the Services, security, or networks;
• access the Services in an unauthorized manner;
• attempt to bypass access controls or probe vulnerabilities;
• reverse engineer or attempt to derive source code (except where prohibited by law);
• scrape, crawl, or harvest data at scale without our written permission;
• submit malware or engage in abusive traffic (e.g., DDoS);
• impersonate others or misrepresent affiliation (including impersonating government entities);
• submit content that is illegal, harmful, harassing, hateful, defamatory, or otherwise objectionable.
7. User Content; community reporting; Wehealth community spaces
7.1 User Content
“User Content” means content you submit to the Services (for example: reports, comments, posts, feedback, uploads, or other submissions).
You are responsible for your User Content and represent that you have the rights required to submit it and that it does not violate law or third-party rights.
7.2 License to Hub
You retain ownership of your User Content, but you grant Hub a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting, safety, and delivery), translate, publish, publicly display, and distribute your User Content solely to operate, provide, secure, and improve the Services, and to fulfill the public-benefit purpose of the corporation.
7.3 Moderation and removal
We may review, filter, refuse to publish, remove, or restrict User Content at any time for safety, legal compliance, policy enforcement, or operational reasons.
7.4 Reporting content; community reporting
Some Services may allow community reporting. Do not submit information you are not authorized to share. Do not submit highly sensitive personal information unless a feature explicitly requests it and you are authorized to provide it.
8. PHapp Alert (SMS) program addendum
If you subscribe to PHapp Alert or other messaging programs, you agree to the following:
• Message frequency varies.
• Message and data rates may apply.
• To opt out, reply STOP. To get help, reply HELP. To re-subscribe, reply START.
• Carriers are not liable for delayed or undelivered messages.
• By subscribing, you consent to receive messages at the number you provide and you confirm you are authorized to enroll that number.
Program-specific disclosures may be presented at signup and are incorporated into this Section 8.
9. Organization Services addendum (Portal; agency programs; admin responsibilities)
This Section 9 applies if you use Organization Services or if you are acting on behalf of an organization (“Customer”).
9.1 Authority
If you use the Services on behalf of a Customer, you represent you have authority to bind the Customer to these Terms.
9.2 Customer responsibilities
Customer is responsible for:
• all use of Organization Services by its users and administrators,
• configuring access controls appropriately,
• ensuring content published by Customer is accurate and compliant with applicable law,
• ensuring it provides any notices/consents required for its programs and end users.
9.3 Customer content; end-user content
Customer content and end-user content may be processed to provide the Organization Services. Customer is responsible for the legality of Customer content and for the instructions it provides to Hub.
9.4 Separate agreements
If Customer has a written agreement with Hub (for example, an order form, MSA, SOW, DPA, BAA, or government contract), that agreement will control to the extent it conflicts with these Terms.
10. Third-party services and links
The Services may link to or interoperate with third-party services (for example: app stores, mapping providers, carriers, analytics, authentication). Third-party services are not controlled by Hub and are governed by third-party terms and policies.
11. Intellectual property
The Services and all related intellectual property (excluding User Content) are owned by Hub or its licensors. Hub grants you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms. Hub, PHapp, Wehealth, and related marks are trademarks of Hub or its licensors.
12. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access to the Services if we reasonably believe:
• you violated these Terms,
• your account is compromised,
• your use poses security, legal, or safety risks, or
• we must do so to comply with law.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUB’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID HUB FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT, WHICHEVER IS GREATER, UNLESS A DIFFERENT LIMIT IS REQUIRED BY LAW OR SET FORTH IN A SIGNED WRITTEN AGREEMENT.
15. Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless Hub and its affiliates, officers, directors, employees, and agents from claims arising out of your use of the Services, your User Content, or your violation of these Terms.
16. Governing law; disputes
These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, unless a separate written agreement states otherwise.
Except where prohibited by applicable law (including for certain government entities), disputes will be brought in the state or federal courts located in Sacramento County, California, and you consent to jurisdiction and venue there.
17. Changes to these Terms
We may update these Terms from time to time. We will update the “Last Updated” date above. Continued use of the Services after the effective date of updated Terms constitutes acceptance.
